Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the https://sourcedoc.eryxlabs.co.ke website and the SourceDoc service (the "Service") operated by Eryx Labs Ltd. ("us", "we", or "our").

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you do not have permission to access the Service.

1. Accounts

When you create an account with us, you guarantee that you are above the age of 18 and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization.

2. Use of the Service

Eryx Labs Ltd. grants you a non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms. You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms.

You agree not to:

• Use the Service in any way that violates any applicable local, national, or international law or regulation.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm Eryx Labs Ltd. or users of the Service or expose them to liability.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Service.
• Modify, translate, or create derivative works based on the Service.
• Rent, lease, distribute, sell, resell, assign, or otherwise transfer rights to the Service without our express written permission.
• Use the Service to transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature.
• Use any robot, spider, site search/retrieval application, or other automated device, process or means to access, retrieve, scrape, or index any portion of the Service.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
• Use the Service for any purpose competitive to Eryx Labs Ltd. or to build a competitive product or service.
• Upload or process any data that infringes upon the intellectual property rights or privacy rights of any third party.

3. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Eryx Labs Ltd. and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other laws of both the Republic of Kenya and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Eryx Labs Ltd..

4. User Content and Document Data

Our Service allows you to upload, submit, store, process, send or receive content, including documents and the data extracted or generated from them ("User Content"). You retain ownership of any intellectual property rights that you hold in that User Content. In short, what belongs to you stays yours.

When you upload, submit, store, send or receive User Content to or through our Service, you give Eryx Labs Ltd. (and those we work with, such as cloud hosting providers) a worldwide, royalty-free license to use, host, store, reproduce, modify (e.g., to format data for display or analysis), communicate, and distribute such User Content. The rights you grant in this license are for the limited purpose of operating, providing, securing, and improving our Service, and to develop new ones consistent with our Privacy Policy. This license continues only for as long as your User Content is stored on our systems according to our data retention policies, even if you stop using our Service (e.g., for backups). We will not use your User Content for marketing or promotional purposes without your explicit permission.

We treat your Document Data (as defined in the Privacy Policy) as confidential. Refer to our Privacy Policy for more details on how we handle your data, including our commitments regarding the use of Document Data for AI model training. You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you have all necessary rights and permissions to submit the User Content to the Service and to grant the license set forth herein.

5. Subscription Fees and Payment

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are typically set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Eryx Labs Ltd. cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting Eryx Labs Ltd. customer support at info@eryxlabs.co.ke.

A valid payment method, including credit card or other accepted methods, is required to process the payment for your Subscription. You shall provide Eryx Labs Ltd. with accurate and complete billing information including full name, address, state, zip code, country, telephone number, and valid payment method information. By submitting such payment information, you automatically authorize Eryx Labs Ltd. (or its third-party payment processor) to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, Eryx Labs Ltd. will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice. Failure to make payment may result in suspension or termination of your access to the Service.

Eryx Labs Ltd., in its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. We will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective. Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

Except when required by law, paid Subscription fees are non-refundable. Certain refund requests for Subscriptions may be considered by Eryx Labs Ltd. on a case-by-case basis and granted in sole discretion.

6. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. We will make reasonable efforts to notify you by the email address associated with your account or the next time you attempt to access your account, depending on the circumstances.

If you wish to terminate your account, you may do so by following the instructions within the Service's account settings, or by contacting us at info@eryxlabs.co.ke. Upon termination, your right to use the Service will immediately cease.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. Upon termination, we will handle your User Content in accordance with our Privacy Policy and data retention practices.

7. Disclaimers

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Eryx Labs Ltd., its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements or be accurate, reliable, or complete.

AI Feature Disclaimer: The Service utilizes artificial intelligence for features like data extraction and question-answering based on your documents. While we strive for accuracy, AI models can make mistakes, generate incorrect information, or misunderstand context. You acknowledge that any output generated by AI features should be carefully reviewed and verified by you for accuracy and appropriateness before relying on it. Eryx Labs Ltd. is not liable for any inaccuracies, errors, or omissions in the AI-generated output or for any decisions made based on such output.

8. Limitation of Liability

In no event shall Eryx Labs Ltd., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service (including User Content and AI-generated output); and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

In no event shall Eryx Labs Ltd.'s aggregate liability for all claims relating to the Service exceed the greater of one hundred US dollars (USD $100) or the amounts paid by you to Eryx Labs Ltd. for the past twelve months of the services in question.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

10. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect, typically via email or a notification within the Service. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
